  • 20.1 What Is a “Dispute”

  • For purposes of this Section 20, a “Dispute” means any dispute, claim, or controversy between you and RIZZ arising out of or relating to:

  • i) these Terms;

  • 20.2 Informal Dispute Resolution

  • Before initiating arbitration or filing a claim in small-claims court, you and RIZZ agree to first attempt to resolve the Dispute informally.

  • Good-Faith Resolution

  • After receiving a completed Notice, you and RIZZ agree to make a good-faith effort to resolve the Dispute without arbitration or litigation.

  • Either party may request a telephone or video conference to discuss the Dispute.

    If you are represented by an attorney, your attorney may participate in the conference.

  • 20.3 Sixty-Day Informal Resolution Period

  • The informal dispute-resolution process will continue for 60 days after RIZZ receives your completed Notice of Dispute, unless you and RIZZ mutually agree in writing to extend that period.

  • Neither party may initiate arbitration or a small-claims proceeding concerning the Dispute before the 60-day period has expired, unless an exception in these Terms or applicable law applies.

  • The completion of this informal dispute-resolution process is a condition precedent to initiating arbitration or a small-claims proceeding, except where applicable law provides otherwise or where an exception expressly applies under these Terms.

  • To the extent permitted by applicable law, the applicable statute of limitations and filing deadlines will be tolled during the 60-day informal dispute-resolution period.

  • 20.4 Exceptions to Informal Resolution

  • The informal dispute-resolution requirements do not prevent either party from seeking immediate temporary, preliminary, or emergency injunctive relief from a court of competent jurisdiction when necessary to protect intellectual-property rights, confidential information, account security, or prevent imminent and irreparable harm.

  • In addition, claims involving sexual assault or sexual harassment are not required to proceed through mandatory arbitration to the extent applicable law gives the person asserting such a claim the right to choose court proceedings.

    Federal law specifically provides an election regarding predispute arbitration agreements for sexual-assault and sexual-harassment disputes.

  • Nothing in these Terms is intended to prevent a person from exercising any non-waivable right provided by applicable law.

  • 20.5 Agreement to Arbitrate

  • Except for:

  • i) claims that qualify for small-claims court;

  • ii) claims that applicable law permits a party to bring in court;

  • iii) claims involving sexual assault or sexual harassment to the extent applicable law permits the claimant to elect court proceedings;

  • iv) requests for temporary or preliminary injunctive relief described above; and

  • v) other claims that cannot lawfully be subject to mandatory arbitration,

  • you and RIZZ agree that any Dispute that is not resolved through the informal dispute-resolution process will be resolved through individual, binding arbitration rather than in court.

  • This arbitration agreement is governed by the Federal Arbitration Act (“FAA”), to the extent the FAA applies.

  • The arbitrator will generally decide disputes concerning the interpretation, applicability, or enforceability of this arbitration agreement, except that a court of competent jurisdiction will determine any dispute concerning whether an arbitration agreement was formed or whether the parties agreed to arbitrate, as well as any issue that applicable law requires a court to determine, except that:

  • i) a court will determine whether a dispute is subject to the statutory exception for sexual-assault or sexual-harassment claims under applicable federal law;

  • ii) a court will determine any issue that applicable law requires a court to determine; and

  • iii) a court may determine whether the requirements for initiating arbitration under Section 20 have been satisfied.

  • 20.6 Arbitration Administrator

  • Arbitrations under these Terms will be administered by National Arbitration and Mediation (“NAM”) under the applicable NAM consumer arbitration rules and procedures in effect when the arbitration is commenced, except to the extent those rules conflict with these Terms or applicable law.

  • NAM provides consumer arbitration rules, procedures, forms, and fee information through its official resources.

    NAM's published consumer standards also require consumer arbitration clauses to provide clear information about the arbitration provider and how consumers can obtain information regarding procedures, rules, and fees.

  • If NAM is unavailable or unwilling to administer a particular dispute under this arbitration agreement, the parties will mutually select another nationally recognized arbitration provider that administers consumer disputes.

  • If the parties cannot agree on a replacement provider, either party may ask a court of competent jurisdiction to appoint an appropriate arbitration provider.

  • 20.7 Individual Arbitration Only

  • The arbitration will be conducted on an individual basis only.

  • Unless both you and RIZZ expressly agree otherwise in writing, neither you nor RIZZ may:

  • i) participate in a class arbitration;

  • ii) bring a dispute as a class representative;

  • iii) bring a dispute as a member of a class;

  • iv) bring a dispute as a private attorney general;

  • v) bring a representative action on behalf of other persons;

  • vi) consolidate your arbitration with another person's arbitration; or

  • vii) seek relief on behalf of any person other than yourself.

  • viii) The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual's claim.

  • 20.8 Class Action Waiver

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RIZZ EACH AGREE THAT ANY DISPUTE MAY BE BROUGHT ONLY IN YOUR OR RIZZ'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, CLASS REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR PARTICIPANT IN A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION.

  • Unless prohibited by applicable law, you and RIZZ each waive any right to participate in a class, collective, representative, or consolidated proceeding involving a Dispute.

  • If applicable law prohibits enforcement of this class-action waiver with respect to a particular claim or requires that a particular claim proceed on a representative or collective basis, that portion of the waiver will not apply to that claim to the extent required by law.

  • 20.9 Jury-Trial Waiver

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RIZZ EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE THAT IS NOT SUBJECT TO THE INDIVIDUAL ARBITRATION REQUIREMENT.

  • This waiver does not apply where applicable law prohibits such a waiver.

  • 20.10 Small-Claims Court

  • Notwithstanding the arbitration agreement, either you or RIZZ may bring an eligible individual claim in small-claims court if:

  • i) the claim qualifies for the jurisdiction of the applicable small-claims court;

  • ii) the claim is brought only on an individual basis;

  • iii) the claim is not pursued as a class, collective, representative, or consolidated action; and

  • iv) the applicable small-claims court has jurisdiction over the parties and the dispute.

  • v) If a claim that has been filed in small-claims court is transferred, removed, appealed, or otherwise becomes ineligible for small-claims treatment, either party may require that the claim proceed in arbitration, subject to this Section 20 and applicable law.

  • 20.11 Arbitration Procedures

  • The arbitration will be conducted by a single neutral arbitrator unless the applicable NAM rules require otherwise.

  • The arbitrator will have authority to award the same individual remedies that a court could award under applicable law, subject to the limitations contained in these Terms and applicable law.

  • The arbitrator may award monetary damages, injunctive relief, declaratory relief, and other individual relief available under applicable law.

  • The arbitrator may not:

  • i) award relief to persons who are not parties to the arbitration;

  • ii) conduct a class arbitration;

  • iii) conduct a representative arbitration;

  • iv) consolidate separate arbitrations without the written agreement of all affected parties; or

  • v) award relief inconsistent with the limitations of this Section 20.

  • vi) The arbitrator's decision will be final and binding on the parties, subject to any rights of review or appeal provided by applicable law.

  • vii) A judgment on an arbitration award may be entered in any court having jurisdiction.

  • 20.12 Location and Remote Arbitration

  • Unless otherwise required by applicable law or agreed by the parties, arbitration may be conducted remotely by telephone, video conference, or based solely on written submissions.

  • If an in-person hearing is required, the location will be determined in accordance with the applicable NAM rules and applicable law, taking reasonable account of the consumer's place of residence.

  • Nothing in this Section prevents the parties from mutually agreeing to conduct the arbitration at another location.

  • 20.13 Arbitration Costs and Fees

  • The allocation of arbitration fees and costs will be governed by the applicable NAM rules and fee schedules and applicable law.

  • RIZZ will pay or reimburse arbitration fees to the extent required by applicable law or the applicable NAM consumer procedures.

  • You will not be required to pay arbitration costs or fees that applicable law prohibits RIZZ from imposing on you.

  • If you believe you cannot afford an applicable arbitration fee, you may request any fee waiver or reduction available under the applicable NAM rules or applicable law.

  • Each party will generally be responsible for its own attorneys' fees and costs unless applicable law, the applicable arbitration rules, or an award by the arbitrator provides otherwise.

  • 20.14 Mass Arbitration

  • If multiple substantially similar individual arbitration demands are filed against RIZZ, the parties agree that any applicable NAM procedures for coordinated or mass filings may apply, subject to applicable law.

    Such procedures will not convert individual claims into a class, collective, or representative proceeding unless required by applicable law or expressly agreed by the parties.

  • The purpose of any mass-arbitration procedure is to provide an efficient process for handling multiple individual claims while preserving each claimant's individual right to pursue an individual claim.

  • No mass-arbitration procedure will convert individual claims into a class, collective, representative, or consolidated proceeding unless required by applicable law or expressly agreed by the parties.

  • NAM currently maintains supplemental procedures addressing mass filings, and those procedures supplement its applicable arbitration rules.

  • If a particular mass-arbitration procedure is unavailable, the parties will follow the applicable NAM rules and any procedure required by applicable law.

  • 20.15 Coordinated Proceedings

  • Where multiple individual arbitrations involve substantially similar factual or legal issues, the parties and NAM may coordinate administrative matters to the extent permitted by applicable law and the applicable NAM rules.

  • Such coordination does not eliminate the individual nature of each arbitration.

  • Each claimant remains entitled to an individual determination of that claimant's dispute.

  • 20.16 Confidentiality

  • To the extent permitted by applicable law, the parties agree that settlement offers, settlement discussions, and statements made solely during the informal dispute-resolution process will be treated as confidential and will not be used in subsequent proceedings except:

  • to establish compliance with the informal dispute-resolution requirements;

  • i) where disclosure is required by law;

  • ii) where disclosure is necessary to enforce an agreement;

  • iii) where disclosure is necessary to obtain legal or professional advice; or

  • iv) where the information is otherwise independently discoverable or admissible.

  • Nothing in this provision prevents either party from reporting suspected illegal conduct to a government authority or from exercising a legally protected right.

  • 20.17 Opting Out of Arbitration

  • You may opt out of the arbitration agreement and class-action waiver contained in this Section 20 by sending RIZZ a written notice within 30 days after first accepting these Terms.

  • Your opt-out notice must:

  • i) include your full name;

  • iii) dentify the email address associated with your RIZZ account;

  • iii) identify your telephone number associated with your RIZZ account, if applicable;

  • iv) state clearly that you are exercising your right to opt out of the arbitration agreement and class-action waiver in Section 20; and

  • v) be personally signed or electronically signed by you.

  • The notice must be sent to:

  • support@letsrizz.com

  • If you properly opt out within the 30-day period, you will not be bound by the arbitration agreement or class-action waiver in this Section 20, but the remaining provisions of these Terms will continue to apply.

  • Opting out of this Section 20 does not invalidate or otherwise affect any prior arbitration agreement or class-action waiver that you may have separately agreed to with RIZZ, except to the extent applicable law provides otherwise.

  • 20.18 Governing Law

  • Except where prohibited by applicable law, these Terms and any Dispute will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

  • The Federal Arbitration Act will govern the interpretation, enforceability, and arbitration of disputes to the extent the FAA applies.

  • Nothing in this Section is intended to deprive you of mandatory consumer protections or rights that cannot legally be waived under the laws applicable to you.

  • 20.19 Court Proceedings and Venue

  • For any Dispute that is not subject to arbitration and that is not eligible for or brought in small-claims court, the parties agree, to the maximum extent permitted by applicable law, that the state and federal courts located in Delaware will have exclusive jurisdiction.

  • You and RIZZ consent to the personal jurisdiction of those courts for such proceedings.

  • To the extent permitted by applicable law, you and RIZZ waive objections based on inconvenient forum or improper venue.

  • This provision does not apply where applicable law requires a different forum or prohibits the parties from agreeing to venue in Delaware.

  • 20.20 Injunctive and Equitable Relief

  • Notwithstanding the arbitration agreement, either party may seek temporary or preliminary injunctive or equitable relief from a court of competent jurisdiction where reasonably necessary to:

  • i) protect intellectual-property rights;

  • ii) protect confidential information;

  • iii)prevent unauthorized access to the Services;

  • iv) prevent misuse of the Services;

  • v) protect account security;

  • vi) prevent irreparable harm; or

  • vii) preserve the status quo pending resolution of a Dispute.

  • Seeking such temporary or preliminary relief does not waive the right or obligation to arbitrate the underlying Dispute where arbitration is otherwise required by these Terms.

  • 20.21 Severability

  • If any provision of this Section 20 is determined to be invalid, unlawful, or unenforceable, that provision will be modified or severed only to the minimum extent necessary to make it enforceable, unless applicable law requires otherwise.

  • The remaining provisions of this Section 20 will remain in full force and effect.

  • If the class-action waiver in Section 20.8 is found unenforceable as to a particular claim, that claim will proceed in the manner required by applicable law, and the remaining arbitration provisions will remain enforceable to the extent permitted by law.

  • 20.22 No Waiver

  • RIZZ's failure to enforce any provision of this Section 20 does not constitute a waiver of RIZZ's right to enforce that provision later.

  • A waiver must be expressly provided in writing by the party granting the waiver.

  • 20.23 Survival

  • The provisions of this Section 20 will survive:

  • i) termination of your account;

  • ii) termination of these Terms;

  • iii) deletion of your account;

  • iv) cessation of your use of the Services; and

  • v) expiration or termination of any subscription,

  • vi) to the extent necessary to resolve any Dispute arising before or after such termination where the provision is otherwise applicable.

  • 20.24 Entire Dispute-Resolution Agreement

  • This Section 20 constitutes the entire agreement between you and RIZZ concerning the resolution of Disputes covered by this Section and supersedes any prior dispute-resolution provisions relating to the same subject matter, except where expressly stated otherwise or where applicable law provides otherwise.

  • If you and RIZZ have entered into a separate written agreement containing a different dispute-resolution provision, that separate agreement will control to the extent applicable to the Dispute.
